IHALC membership terms and conditions 

 

These Membership Terms and Conditions will govern your membership of the In House Agency Leaders Club Ltd.

1. Membership of In House Agencies Leadership Club Ltd (IHALC)

  1. Membership shall be limited to the right to receive Member Benefits as detailed in clause 3.
  2. There shall be two categories of membership subscription to IHALC: ‘Individual’ and ‘Team’. Provisions relating to these categories of membership is described in clause 2
  3. Individual Members must satisfy IHALC’s Prescribed Membership Criteria, namely that the member must be a bona-fide Leader within an In House Agency, the leader of an In House Agency or in a Leadership Role that has accountability for the success of an In House Agency. Applications for membership that do not satisfy IHALC’s Prescribed Membership Criteria will not be accepted.
  4. If any Individual Member whose membership was paid for by their employer ceases to meet the Prescribed Membership Criteria, they may, at IHALC’s sole discretion, transfer that membership to another employee within the same In House Agency for the remaining duration of their membership, subject to the transferee meeting the Prescribed Membership Criteria.
  5. If any Individual Member whose membership was paid for by themselves personally and not charged as an expense to their employer, ceases to work in the In House Agency stated on their membership application, they may, at IHALC’s sole discretion, transfer that membership to another role within their next In House Agency for the remaining duration of their membership, subject to continuing to  meet the Prescribed Membership Criteria. In the event the member becomes unemployed they may continue to be a member for the duration of their membership.
  6. Team Membership is restricted to in-house agencies only: membership applications from any organisations that do not meet IHALC’s definition of an In-House Agency will not be accepted
  7. Individuals within a Team subscription who are assigned a place at IHALC events should meet the Prescribed Membership Criteria.
  8. Each Team subscription shall have a Team Subscriber who shall be responsible for administration of the Team subscription, including but not limited to, assigning places at IHALC events to senior members of their team.
  9. Each Team Subscriber may grant colleagues in their In House Agency access to the Sessions section of the IHALC Members-only web pages up to a maximum of 100 colleagues.
  10. Members may upgrade their membership on satisfying the Prescribed Membership Criteria to a higher Membership category. Downgrades are not permissible other than when requested at renewal.

2. Rights of Membership

  1. All Members shall receive notice of member benefits and promotions and may exercise their right to benefit from the benefits and promotions included in their membership category. IHALC may, at its discretion, offer additional benefits for purchase at Members’ rates.
  2. Individual subscription includes these rights for the individual member only, these rights are only transferable in accordance with Clause 1.

3. Member Benefits

IHALC is committed to providing quality Member Benefits and shall, at IHALC’s sole discretion:

  1. establish, make available and support programmes of events, training, coaching, mentoring and knowledge sharing, in person and/or online.
  2. evolve, adjust, and vary the range of member benefits, considering member feedback, level demand and availability, in accordance with Clause 12 (variation)
  3. from time to time undertake, promote and make available research and information regarding developments in In House Agencies
  4. provide access to internal and external discounted member benefits subject to the relevant terms and conditions
    establish, develop and maintain links with other bodies and organisations at local, national and international level
    maintain a membership database to confirm your membership status
  5. vary the service mix in line with demand and market conditions
  6. reserve the right to promote and sell certain member benefits, without member discounts, to non-members.

 

4. Membership Term
Membership is valid for a period of 12 months from date of payment of the membership fee.

5. Membership Fees
Membership of IHALC in each category of Membership and access to Member Benefits is conditional upon meeting the Prescribed Membership Criteria and the payment of the appropriate subscription fee.

6. Membership Renewal

  1. IHALC reserves the right, at its sole discretion, to vary its pricing in line with inflation, its benefits, market conditions and/or any other factor which enables it to continue to offer members its benefits.
  2. Where any subscription payable by the Member to IHALC is not paid by the Renewal Date, your membership shall be deemed to have lapsed following a grace period of 28 days.
  3. During the Grace Period, Members remain subject to IHALC’s Terms and Conditions
  4. At the expiry of the Grace Period, any membership for which membership fees have not been received in full by IHALC shall be terminated and the Member will lose the right to all IHALC member benefits.

7. Right to Cancel Membership
Members shall have limited rights to cancel their membership
Members wishing to cancel their membership may do so within 14 days of payment.

8. Membership Termination

  1. If IHALC resolves, after careful consideration, that a Member no longer meets the Prescribed Membership Criteria, that Member will be given not less than 14 days’ notice of the fact that the membership will be cancelled, specifying the circumstances alleged to justify cancellation, and will be afforded a reasonable opportunity of being heard by a Director of IHALC before a final decision is made.
  2. Any Member who ceases to be a Member in accordance with clause 8a shall remain liable for all subscriptions and any other sums due from the Member up to and including the date when s/he ceases to be a Member

9. Membership Rejection

  1. An application for membership or for transfer from one category of membership to another shall be determined by IHALC, which may in its absolute discretion decline to accept an applicant as a Member.
  2. Members are advised that IHALC may also, in certain circumstances, reassess the Membership category of any Member whose Membership was terminated or ended.

10. Intellectual Property Rights

  1. All Intellectual Property which exists in the Materials provided to Members as part of the Member Benefits are owned by IHALC and/or its content or service providers.
  2. Membership does not confer any right to use IHALC Intellectual Property, except where expressly provided in writing.
  3. The Member shall not:
  1. licence, sell, rent, lease, transfer, assign or otherwise commercially exploit Materials, including passwords, provided to the Member by IHALC; or
  2. licence, sell, rent, lease, transfer, assign or otherwise commercially exploit or otherwise make the Member Benefits available to any third party.

11. Force Majeure
In the event of Force Majeure, IHALC shall not be deemed to be in breach of these Terms and Conditions and in particular shall not be liable for a delay or for non-performance of any of its obligations under these Terms and Conditions or for any loss or damage occasioned thereby. To the maximum extent permitted by law, all losses arising for this reason shall not be recoverable by the Member.

12. Variation
At its absolute discretion, IHALC may at any time alter, amend, change, modify or withdraw any of the membership benefits that comprise the membership offering. It will be your responsibility to keep up-to date with all such changes and your membership renewal and continued use of the Member Benefits shall be deemed acceptance of any changes to these Terms and Conditions.

13. Notice
Any notice to be given under these Terms and Conditions shall be in writing, which shall include electronic communication to the email address you provide.

14. Data Protection
By accepting these Terms and Conditions, you agree to the use of your information as set out in our Privacy policy(link) and to being contacted by IHALC and its partners in relation to future events or other membership benefits via email and newsletter

15. Governing Law
These Terms and Conditions shall be interpreted in accordance with English law and all disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Interpretation
The following definitions apply in these Terms and Conditions:

‘Force Majeure’ any event or occurrence which is outside the control of the party affected and which is not attributable to any act or failure to take preventive action by the party affected, but shall not include any industrial action occurring within the

‘IHALC’ the In house Agency Leaders Club Ltd, a company registered in England, registered number 14527840, whose address is Hillside House, Clarendon Road, Alderbury, Salisbury, SP5 3AS

‘Intellectual Property’ copyright, database rights, rights in confidence, rights in passing-off, rights to domain names, registered and unregistered designs, trademarks, patents or other industrial or intellectual property together with any current or future applications for any registrable items of the foregoing;

‘In House Agency’ A subsidiary, department, team or function that operates in order to do any or all of the following brand, marketing and/or advertising activities, in any medium or platform, and does so within an organisation or group whose purpose is not in itself to be a provider of marketing or advertising services to other organisations or groups:

  1. Creative Strategy
  2. Creative Ideation
  3. Creative Design, including Design Origination, Adaptive Design or Design execution
  4. Copywriting
  5. Art Direction
  6. Creative Project/Programme Planning and Management
  7. Production management
  8. Resource Management
  9. Creative adaptation and transcreation
  10. Production, including pre production, production or post production
  11. Deployment of Brand and Marketing Communications

‘Leader’ A person whose role is to lead a team within an In House Agency or to lead an In House Agency, or a person who holds another leadership role that is accountable for the success of an In House Agency, for example a senior marketing or commercial role.

‘Materials’ all materials including written content, newsletters, event materials, advertising, hand-outs, diagrams, presentations, videos, business models, publicity content, invitations, website, branding, logos and other IHALC materials, tools, used by or for or relating to the Member Benefits;

‘Member’ a fully paid-up individual member of the IHALC and “Members” shall be construed accordingly;

‘Membership Category’ the grade of membership held by a Member which is dependent on satisfying the Prescribed Membership Criteria for the specified grade;

‘Member Benefits’ the benefits provided by IHALC  for the benefit of Members subject to these Terms and Conditions;

‘Membership Term’ the 12 month period of valid membership commencing on payment

‘Prescribed Membership Criteria’ all membership options are available only to In House Agency Leaders as defined in ‘Leaders’ above.

‘Team Subscriber’ the individual who purchases a Team Subscription and who is responsible for administration of their Team subscription.
